Polygon Advocate Terms and Conditions

1. Introduction

These Polygon Advocate Terms and Conditions (these “Terms”), together with the Terms of Use (the “Terms of Use”), Community Guidelines, the Brand Guidelines, and any other applicable guidelines, policies, and procedures (collectively, “Other Rules”, and together with the Terms of Use, Community Guidelines collectively, the “Agreement”), govern your application to and participation in the Polygon Advocate program (the “Program”), and constitute a binding agreement between you (“you” or “your”) and Polygon Labs UI (Cayman) Ltd. (together with its affiliates, “Polygon Labs,” “we,” “us,” or “our”).

When used in these Terms, (a) “Advocate” means a technology expert on the Polygon blockchain protocols who has been accepted into the Program, and (b) “Content” means information, images, pictures, data, text, photographs, graphics, messages, or other materials you may provide to us in connection with your participation in the Program.

In the event of a conflict between the Terms of Use, on the one hand, and these Terms and the Other Rules, on the other, these Terms and the Other Rules will prevail. Polygon Labs may make changes to these Terms and the Other Rules from time to time. If we make changes, we will provide you with notice of such changes, such as by sending an email or updating the date at the top of these Terms and the Other Rules. Unless we say otherwise in our notice, the amended Terms will be effective immediately.

BY APPLYING TO OR PARTICIPATING IN THE PROGRAM, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, PLEASE DO NOT APPLY TO OR PARTICIPATE IN THE PROGRAM.

2. Application

In order to become an Advocate, you must complete and submit the application for the Program. All information provided in your application must be true and accurate.

3. Eligibility

In order to participate in the Program, as of the date that you submit your application and, if accepted, throughout your participation in the Program:

  • You must be of legal age in the jurisdiction in which you reside and must have the legal capacity to enter into these Terms and be bound by them;
  • You must not be under investigation for or convicted of a crime involving dishonesty, fraud, deceit, misrepresentation, or deliberate violence unless you have disclosed the circumstances of such investigation or conviction to the organizers of the Program;
  • You must not be a resident, national, or agent of Ukraine Regions of Crimea, Donetsk and Luhansk, Cuba, Iran, North Korea, Sudan, Syria, or any other country to which the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions (collectively, “Restricted Territories”); and
  • You must not be a member of any sanctions list or equivalent maintained by the United States government, the United Kingdom government, the European Union, or the United Nations (collectively, “Sanctions Lists Persons”).

Further, Polygon Labs reserves the right to limit or refuse your eligibility to participate in the Program at any time for any reason in its sole discretion, including where your participation is prohibited by any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or another directive, requirement, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, common law or equity (collectively, “Applicable Laws”). If Polygon Labs becomes aware of any violation of these Terms and/or the Terms of Use, Polygon Labs may elect to, among other things, prohibit you participating in the Program.

By participating in the Program, you represent and warrant that you meet the requirements contained in these Terms. If you do not meet the requirements contained in these Terms, you cannot participate in the Program.

4. Requirements

If selected to be a Advocate, you must participate in activities within the Polygon blockchain developer community on a regular basis, with a minimum of one activity every 90 days, in a manner consistent with this Agreement (including playbooks, expense approval processes, and activity reporting requirements), in order to maintain good standing in the Program. Such activities may include organizing technical workshops regarding building on the Polygon blockchain protocols, creating technical educational materials to assist developers, and writing technical articles about the Polygon blockchain ecosystem.

5. Privileges

The Program provides various privileges to Advocates in exchange for the Content, including exclusive merchandise and invitations to exclusive events. We reserve the right to modify or discontinue any privileges at any time with no liability or obligation to you.

6. Content

You give us a perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferrable, sub-licensable, worldwide license to use any content you create or provide to us in connection with your participation the Program for any purpose, and you represent and warrant that you have secured all permissions necessary for us to do so without compensation to you or any third party.

7. Responsibilities

You are responsible for all activities you undertake in connection with your participation in the Program. Except for any costs or expenses we expressly agree in writing to pay, you are responsible for any and all costs and expenses you may incur in connection with this Agreement. You are responsible for your own federal, state, and local income taxes and any other applicable taxes that may arise out of this Agreement.

8. Restrictions

You expressly agree not to: (a) make any untrue statements or representations about Polygon Labs or the Polygon blockchain protocols; (b) make any statements or representations in the course of your activities as a Advocate that are, in our sole opinion, misleading, defamatory, infringing, libelous, disparaging, obscene, or otherwise objectionable to us; (c) make any statements on behalf of Polygon Labs; (d) misrepresent your own opinions or actions as those of Polygon Labs; (e) misrepresent the purpose of the Program, how the Program functions, or your role as a Advocate; (f) claim to be a Advocate if you are no longer a member of the Program; or (g) otherwise misrepresent your relationship with us (including indicating that any social media account you create is an official account of Polygon Labs or using a title or social media handle that suggests you are an employee of Polygon Labs).

9. Privacy

By participating in the Program, you acknowledge and agree that any personal information that you provide will be maintained in accordance with the Privacy Policy. By participating in the Program, you (a) grant to Polygon Labs the right to use your name, country of residence, email address or any other information you provided to Polygon Labs (“Personal Information”) for the purpose of administering the Program; (b) grant to Polygon Labs the right to use your Personal Information for publicity, promotional, marketing and advertising purposes relating to the Program, in any and all media now known or hereafter devised, without further compensation unless prohibited by Applicable Law; and (c) acknowledge that Polygon Labs may disclose your Personal Information to its third-party agents and service providers in connection with any of the activities listed in clause (b) above. Polygon Labs will use your Personal Information only for the identified purposes and as contemplated in the Privacy Policy.

10. Relationship

You acknowledge and agree that (a) your participation in the Program is completely voluntary; (b) you are an independent contractor; (c) nothing in this Agreement will create any partnership, joint venture, agency, or employment relationship between you and us; (d) you are not and will not be entitled to any rights or benefits accorded to our employees; and (d) you will not take any action inconsistent with this relationship, including, but not limited to misrepresenting your relationship with Polygon Labs.

11. Changes

We reserve the right to change this Agreement at any time. Your election not to withdraw your application or continued participation in the Program after any such changes will mean that you accept and agree to the changes. It is your responsibility to check for changes to the Agreement where posted.

12. Miscellaneous

For clarity, all of the provisions of the Terms of Use apply to these Terms and all other documents constituting this Agreement, including the provisions regarding indemnification, disclaimers, limitation of liability, governing law, and arbitration. For purposes of interpretation, (a) the term “Services” as used in the Terms of Use includes the term “Program” as used in these Terms, (b) references to “using the Services” or similar in the Terms of Use include “applying to the Program,”  “participating in the Program,” or similar in these Terms, and (c) references in the Terms of Use to “these Terms of Use” are deemed to be references to these Terms and all other documents constituting this Agreement. This Agreement constitutes the entire agreement between you and us regarding the subject matter contained in this Agreement and supersedes all prior or contemporaneous agreements or understandings.
