Polygon Village Voucher Program Terms and Conditions

1. Introduction

The Polygon Village Voucher Program (the “Program”) is a program that connects projects building on the Polygon blockchain protocols (each, a “Project”) with providers of blockchain technology products or services within the Polygon ecosystem (each, a “Service Provider”) offering various benefits relating to the Service Provider’s services (such as discounts and complimentary access) (each such incentive, a “Voucher”). These Polygon Village Voucher Program Terms and Conditions (these “Terms”), together with the Terms of Use (the “Terms of Use”) (collectively, the “Agreement”), govern registration for and participation in the Program and constitute a binding agreement between Polygon Labs UI (Cayman) Ltd. (together with its affiliates, “Polygon Labs,” “we,” “us,” or “our”) and you, as a participating Project or Service Provider (“you” or “your”). In the event of a conflict between the Terms of Use and these Terms, these Terms will prevail. Polygon Labs may make changes to these Terms from time to time. If we make changes, we will provide you with notice of such changes, such as by sending an email or updating the date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately.

BY REGISTERING FOR OR PARTICIPATING IN THE PROGRAM, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, PLEASE DO NOT REGISTER FOR OR PARTICIPATE IN THE PROGRAM.

2.  Eligibility

In order to participate in the Program, when registering for and throughout your participation in the Program,

• If you are participating in the Program as an individual, then you must be of legal age in the jurisdiction in which you reside and must have the legal capacity to enter into these Terms and be bound by them;
• If you are participating in the Program as an entity, then you must have the legal authority to accept these Terms on that entity’s behalf, in which case “you” (except as used in this paragraph) will mean that entity;
• You must not be a resident, national, or agent of Ukraine Regions of Crimea, Donetsk and Luhansk, Cuba, Iran, North Korea, Sudan, Syria, or any other country to which the United States, the United Kingdom or the European Union embargoes goods or imposes similar sanctions (collectively, “Restricted Territories”); and
• You must not be a member of any sanctions list or equivalent maintained by the United States government, the United Kingdom government, the European Union, or the United Nations (collectively, “Sanctions Lists Persons”).

Further, Polygon Labs reserves the right to limit or refuse your eligibility to participate in the Program for any reason in its sole discretion, including where your participation is prohibited by any domestic or foreign law, rule, statute, regulation, by-law, order, protocol, code, decree, or another directive, requirement, or guideline, published or in force that applies to or is otherwise intended to govern or regulate any person, common law or equity (collectively, “Applicable Laws”). If Polygon Labs becomes aware of any violation of these Terms and/or the Terms of Use, Polygon Labs may elect to, among other things, prohibit you participating in the Program.

By participating in the Program, you represent and warrant that you meet the requirements contained in these Terms. If you do not meet the requirements contained in these Terms, you cannot participate in the Program.

3. Access

Access to the Program is free of charge to you. We reserve the right to modify or discontinue access to the Program for any reason at any time without liability or further obligation to you.

6. Service Provider Responsibilities

You give us a perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferrable, sub-licensable, worldwide license to use any content you create or provide to us in connection with your participation the Program for any purpose, and you represent and warrant that you have secured all permissions necessary for us to do so without compensation to you or any third party.
